Descripción de la misión

The Legal Counsel reports operationally to the Legal Director of Iberia, Latam and Africa responsible for the region.

As a Legal Counsel, you are an individual contributor responsible for supporting Cegid business units. That will involve providing first-level legal support to business teams, including drafting and negotiating a variety of commercial agreements (e.g., SaaS, service and technology agreements).

You will also be responsible for providing general advice and assistance to the business including liaising with sales, account management, product teams, order management and finance. You will assist with compliance and data privacy matters as they relate to the Cegid business units.

As a Legal Counsel you will provide practical business-oriented solutions to complex legal issues and manage competing priorities and multi-task in a fast-paced, demanding environment.

 

Perfil

Main activities
·   Support the business including drafting, analyzing, and negotiating all types of commercial contracts (SaaS clients, licenses, services, partnerships, subcontracting, NDAs, GTC/GTU, etc.).

·   Providing pragmatic assistance and advice to operational teams in the monitoring of their projects (answering specific questions, drafting legal memos, organizing training sessions, reviewing invitations to tender and specifications, etc.), taking part in negotiations.

·    Monitoring pre-litigation and litigation, in liaison with law firms where necessary.

·      Drawing up and updating standard contractual documentation in line with changes in internal procedures and legislative or regulatory changes.

·     Monitoring legal developments relating to the Group's activities.

·       Serve as trusted legal advisor to the supported business areas.

·       Review and respond to a variety of questions from the business.

·       Work with manager to maintain and update all templates and policies. The role will also require coordinating with all applicable teams to update terms as products evolve and customer feedback is taken into account. Assist with the continuous updating of the online terms and conditions, including general terms, product-specific terms and third-party terms.

·       Provide legal support on various other matters, such as conducting legal research, performing due diligence/data mining reviews, assistance with the preparation of negotiation guidelines, preparation, and delivery of legal training to the business, assisting in the development of processes/systems to streamline the delivery of legal services to the company (e.g., automation and other efficiency-related initiatives), and ad hoc matters/projects, as they arise.

About you
·       Law degree.

·       Qualified lawyer with at least 5 years of post-qualification experience (PQE) with a demonstrable record of success in prior roles.

·       Experience in the SaaS industry, preferably with some experience in data privacy.

·       Experience drafting and negotiating customer contracts.

·       Ideal candidate will have experience in a high caliber law firm (plus, if also has in-house experience), experience in transactional or IT law practice, experience drafting and negotiating a variety of and complex commercial agreements (a plus if candidate has experience with technology agreements).

·       You are uber-efficient and organized and demonstrate excellent project management skills.

·       You are a go-to-person and natural leader in your subject matter, enabling you to manage by influence a cross-functional team of specialists.   

·       You keep calm under pressure and can juggle multiple projects with tight deadlines and shifting business demands.
